GENERAL TERMS AND CONDITIONS

1. PARTIES AND ACCEPTANCE OF THE GENERAL TERMS AND CONDITIONS:


(hereinafter also the General Terms and Conditions or T&Cs):

For the first party, the supplier of the products, STYLE BALNEO, S.L.U., whose trade name is
Balneo SPA (hereinafter also the supplier), with its registered offices at C/ Josep Estivill 64-68,
08027, Barcelona, Tax Code B66728460, customer service helpline: +34 93 511 10 11, and email:
info@balneo.es, being the owner of the website www.balneospauniforms.com, hereby displays the
contractual document that will govern the purchase of products via the aforementioned website.



And, for the other party, the User-Customer (hereinafter the User), registered on the website by means of a
user name and password, for which the User is fully responsible in terms of their use and safekeeping
, being liable for the accuracy of the personal data provided to the supplier.



BOTH ACCEPT this document, which implies that the user:


a. Has read, understood and comprehends what is stated herein.

b. Is of legal age and has sufficient capacity to enter into contracts.

c. Assumes all obligations hereunder.

d. Has read and accepts these general conditions of purchase from the
time any product offered is bought.



This document can be printed and stored by Users.

The supplier provides users with the email address info@balneo.es so they can ask
any questions they may have regarding these terms and conditions.

These terms and conditions will be valid indefinitely and will be applicable to all
contracts taken out via the supplier's website: www.balneospauniforms.com.



The supplier reserves the right to unilaterally modify these General Terms and Conditions,
without this affecting any goods or promotions that have been acquired prior to such
modification, in order to improve the products offered. In any case, before buying the
products, these general terms and conditions must be consulted.


It's advisable to keep a copy of the data contained in the products purchased
BALNEO SPA will not be liable for any consequences that may arise from the
inappropriate use of the products on sale on the website.



The civil liability of BALNEO SPA for the products supplied is limited to
the amount paid for these and users waive any liability claims against BALNEO
SPA for any concept in any case of dissatisfaction with the products acquired on
the website www.balneospauniforms.com, as well as possible failures, slow access or errors in
access to the website, including loss of data or other information that could
exist in the computer or network of the user accessing the website www.balneospauniforms.com.

BALNEO SPA is a company specialising in the remote selling of
uniforms for professionals of the wellness, aesthetic, spa and hairdressing sector. BALNEO SPA
sells its products remotely over the internet through its website, email and/or telephone
(see Clause 4 of this document). The supplier does not have any physical premises to
sell its products.



2. OBJECT OF THE CONTRACT:

2.1 Scope of application: This contract is intended to regulate the
contractual relationship of purchase and sale taken out between the supplier and the user at the time
the latter accepts these terms and conditions of purchase during the online contractual process by ticking the
corresponding box. These T&Cs apply from the day the order is placed.

The contractual relationship of purchase and sale entails the delivery of a specific product in exchange for a price
determined and publicly displayed via the website.

2.2 Geographical scope of application: The online shop at www.balneospauniforms.com is active for everyone.

2.3 Capacity to enter into contracts: To be able to place an order, you must be of legal age
and have the capacity to enter into contracts.

2.4 Customer acceptance: An order made via the website
www.balneospauniforms.com is confirmed by email and also implies the
automatic acceptance of the T&Cs. These terms and conditions are available at the
website www.balneospauniforms.com or, if you wish and request this, we can provide you with these via email.

2,5 Modification of the General Terms and Conditions: BALNEO SPA
reserves the right to make changes and/or modifications to these T&Cs. We advise
our customers to check them regularly. If these changes or modifications
are made after an order has been placed, the conditions valid on the date
the order was placed shall apply.



3. INFORMATION PROVIDED ON THE WEBSITE www.balneospauniforms.com:

3.1 Publication of prices: The product prices are those show for each
product on our website www.balneospauniforms.com.

3.2 Product information: The information contained in our advertising,
our brochures or other written material on our website or provided to you constitutes an
invitation to make a purchase. The contents of www.balneospauniforms.com are constantly renewed and updated to offer our customers the
most complete and detailed information possible. All the contractual information present
on www.balneospauniforms.com is shown in Spanish and
communication with customers and users, as well as the formalisation of the contract, will be carried out
in this language, although, if the customer so wishes, it can be carried out in Catalan or another language
, always indicating this before starting to enter into a contract.

3.3 Product availability: There may be occasions when it is impossible
to supply all the products because they are not in stock or available at the
time of purchase. In such cases, the product in question will be visible but not
available for purchase and a pre-order will be made to place your order in production.

3.4 Right to cancel: BALNEO SPA reserves this right to cancel
delivery of a given product that does not meet the quality standards imposed
on all products of www.balneospauniforms.com. Should such a lack
of quality be detected, BALNEO SPA Customer Service will suggest a
replacement product and, if the replacement is not to the customer's liking, we will refund the cost
of this product within 10 working days.

3.5 Orders 24/7: Orders are received twenty - four (24) hours a day, three hundred and sixty - five (365) days a year. However, orders placed from Monday to Friday will not be processed after 16:00. After this time, they will be processed the next working day in Barcelona. Orders received on Saturdays after the indicated time and on Sundays will be processed on Mondays (or the first following working day). The delivery times are set out in clause 5 of these conditions.

3.6 Fraud: Should BALNEO SPA suspect or detect any anomaly or fraud, it reserves the
right to cancel the transaction for security reasons.



4. PURCHASE PROCEDURE:

To be able to access the products offered by the supplier, Users must register
with the website by setting up a user account. To this end, Users
must freely and voluntarily provide the personal data
required.

Users must select a user name and password, agreeing to
use these diligently and not disclose them to third parties, and to notify the
supplier should they be lost or possibly accessed by an unauthorised third party,
so that the latter can block access immediately.

Users may not choose, as a user name, words that are intended to confuse
others by identifying the User as belonging to the supplier, or expressions
that are offensive, abusive or that generally contravene the law or requirements of good morals and
custom.

Once a user account has been set up, users are hereby notified that, in accordance with the requirements of
Art. 27 of Spanish Law 34/2002 on Information Society and Electronic Commerce
Services, the contractual procedure will follow the following steps:



1. Select the product by clicking on it and it will be automatically added to the shopping basket.


2. If you want to add more products, you should select the option Continue shopping. If you've added a product you don't want by mistake, you can click on the option to remove it from the shopping basket.


3. Once you've chosen the product(s) you want, you should click on the Finish button to place your order. When you click on this option, confirmation of your order will appear (a summary of the order placed, your details and chosen payment method).


The user's details will be requested in three ways:


a. User registration: if you aren't already registered, you need to fill in a
form to provide your details (in which you'll also have to accept our Privacy
Policy
, in order to be able
to place an order (registration is free of charge). Once the form has been completed, you'll receive an email at the address given, confirming your registration. "


b. If you've already registered and are a customer: you can access your data
by clicking on the registered user button and entering your
user name and password


You should check your spam and unsolicited mail folders of your
email account and always make sure the contact details
you give us are correct.


5. Once registered, a screen for comments will appear, where you can specify the
delivery time; a checkbox which you must tick as it confirms
acceptance of these General Terms and Conditions and the Privacy Policy."


6. To complete the process, you must click on the Finish button




In any case, the supplier's order platform will inform the user, by email, once
the order process has been completed, including all the
characteristics, price, transport methods, order date and delivery periods for the
purchased product.

If there is any error in the address given or at any other point in the
order, you must send notification immediately to the email address that appears on the website in order to
correct this error.

If you have any doubts, you can contact our Customer Service using
any of the methods provided on the website   www.balneospauniforms.com.
BALNEO SPA will provide Customer Service FREE OF CHARGE via our contact email address: info@balneo.es. If another method of communication is chosen, the user must
meet any costs associated with this.

BALNEO SPA can be contacted by telephone in Spain, the cost of the call depending on your telephone service provider.



PHONE PURCHASES

BALNEO SPA also allows purchases by telephone. Should you use this method, you will
only be asked for those details that are absolutely necessary to process your order.

We need the following information to process the order:



- The reference of the model you want (found on our website with the format Ref. X000).


- The colour (this can be seen in the image of the garment in question).


- The size (the sizes appear in a drop-down list for the garment in question). If you wish, you
can consult the sizes directly from the file or in the Tailoring section.


- Your personal and billing details, so we can deliver your purchase. To make purchases mail is opened:


Monday to Friday from 09:00 to 14:00.



EMAIL PURCHASES

For countries that do NOT belong to the EU (except the USA, CANADA, AUSTRALIA,
SWITZERLAND), BALNEO SPA allows orders to be made by contacting the Customer Service department via email at
eshop@balneospauniforms.com. Should you use this purchase method, you will
only be asked for those details absolutely necessary to process your order. "

To complete the purchase process, you must state:

- The reference of the model you want (you can find it on our website in format Ref. X000).

- The colour (can be displayed on the image of the selected garment).

- The size (sizes appear in the drop - down menu of the selected garment). If you wish, you can consult the sizes directly from the file or in the Tailoring section.

- Your personal and billing details, so we can deliver your purchase.

- To make purchases mail is opened:

Monday to Friday from 09:00 to 14:00



5. DELIVERY

5.1 Transport company: Domestic deliveries, to mainland Spain, the Balearic and Canary Islands, are sent using the transport company Impackta. Shipments to Ceuta, Melilla, Europe and international use UPS.



   5.2 Delivery costs: Delivery costs will be applied as follows:

- Spain (including Balearic Islands): €6


- Ceuta, Melilla and the Canary Islands: €30


- Europe - EU countries: €15


- Martinique, Guadeloupe, Reunion, New Caledonia: €50


- Australia, USA, Canada and other countries: $35


- Martinique, Guadeloupe, Reunion, New Caledonia: €50


When a user-customer adds the product to the basket and confirms the delivery address, the
system will automatically show the price of the aforementioned delivery methods.
Prices for deliveries to European countries are expressed in Euros (€). All Users from non - European countries, se e the prices in US dollars ($)




   5.3 Delivery address:

Delivery Address: Orders will be delivered at the delivery address given voluntarily by the user.
Therefore, the supplier does not assume any liability should the product not be delivered due to false, inaccurate or incomplete details being provided by the user or when the delivery cannot be made due to causes beyond the control of the delivery company assigned for this purpose, such as the absence of the recipient.

Orders will be delivered within usual working hours.

Notwithstanding this, the supplier has adopted the measures required of a
diligent retailer to ensure deliveries can be carried out within the agreed period. Consequently, no
claim can be brought against the supplier for any liability.

Deliveries are made to Spain, Balearic Islands, Ceuta, Melilla, Canary Islands, Europe EU countries, Europe - non - EU countries, Australia, USA, Canada and other countries, Martinique, Guadeloupe, Reunion and New Caledonia.



BALNEO SPA will use all the resources within its possibilities to ensure your order is delivered within the
period of time stated on our website at the time the order is confirmed.

    5.4 Delivery times: When the delivery is to Spain, the delivery period will be
up to 5 working days, if there is enough stock for the quantity ordered, depending on the
town/city of the delivery and the payment method chosen. If the delivery is international, the period ranges
between 7 and 10 days, depending on the product, if there is enough stock for the quantity ordered, on the
town/city of the delivery and the payment method chosen. This period is applicable provided the
availability of the service has been confirmed and full payment of the order has been verified. In the case
of products not available at the time of purchase, our Customer Service
can provide you with information regarding availability and the respective delivery time.

If several products have been ordered in the same order, please note that they may have different
availabilities, in which case you may receive them on different dates. Please note
that, should any of the references not be available at the time of
dispatch, you are entitled to cancel the order within 24 hours of placing it
and before it is sent by contacting our Customer Service
via the following email address: info@balneo.es, stating the order number.



    5.5 Confirming dispatch: When the order is passed on to our
carrier, we will send confirmation of its dispatch to the email address
you provided when making the order. This confirmation of dispatch will provide a
corresponding tracking number so that you can monitor the delivery via
our carrier's website



    5.6 Damage during delivery: Products are transported in secure packaging. If, at the time of delivery, it is clearly and visibly apparent, without the need to manipulate the packaging of the
delivery or the product itself, that a product has defects caused by transport
or an error in the goods received can be observed, the
customer must immediately contact our Customer Service helpline +34 93 511 10 11 or email info@balneo.es in order to request the return of the product or products affected
and their replacement with another product in optimum conditions or a refund of the
price paid for them, as indicated in the aforementioned email.

Similarly, if damage to the product is detected once the package has been opened and the packaging
was in perfect condition, the consumer/user must inform the seller of this
within two months of becoming aware of the damage via our
Customer Service helpline +34 93 511 10 11 or email info@balneo.es.



6. PRICES AND VALID PERIODS FOR OFFERS:

All prices displayed in the store www.balneospauniforms.com exclude current VAT

at the time of purchase.

All users from EU countries see the prices on the website which are valid and expressed in Euros (€). All Users from non - European Union countries see the prices in US dollars ($). These prices, unless specifically stated otherwise,

do not include delivery, handling, packaging, delivery insurance or

any other services additional or associated with the product or service purchased.



Spain
The prices shown do not include the respective taxes. The Spanish VAT rate (21%) is always applied at the end of the purchase.

European Union
No tax will be applied to customers who correctly enter their intra - community VAT number (except Spain). For customers without an intra - community VAT number, the VAT rate of the country of destination will be applied.

Other countries
No taxes will be levied. However, customers must pay any import charges in their home country. This amount must be paid to UPS upon receipt of the order.



VALUE ADDED TAX: Pursuant with the provisions of Article 68 of Spanish Law 37/1992 of 28 December on Value Added Tax, the delivery of the products will be understood to be located within the territory in which Spanish VAT applies when the delivery address is in Spain, except for the Canary Islands, Ceuta and Melilla. The applicable VAT rate will be the one legally in force at any given time depending on the specific item in question. In orders for the Canary Islands, Ceuta and Melilla, deliveries will be exempt from VAT by application of the provisions of Article 21 of Law 37/1992, without prejudice to the application of the corresponding taxes and tariffs in accordance with the regulations in force in each of these territories.

The user will receive the invoice for the order at the email address provided by the user once the purchase has been made.


The prices applicable to each product will be those published on the website and applied automatically in the order process during the last stage thereof.


In cases of promotions of limited duration, the promotional discount will be applied as long as the order has been registered during the promotion period.


The delivery method is via the company UPS and detailed in the specifications of section 5 of these general terms and conditions.


The data recorded by means of the different payment methods constitute proof of the date on which the financial transactions were carried out and will serve to determine whether or not the order is subject to a promotion.


For any information about the order, the User may contact the supplier's customer service via its helpline or email, as per the details provided.


7. PAYMENT METHODS

Below are details of the payment systems available for making purchases via the website:



   7.1 Payment by credit or debit card: The user must have a valid credit or debit card and must specify all the digits of the card number in the corresponding form. The transaction is carried out at the time of the order. We only accept payments with secure cards for which your identity as the cardholder is authenticated using the method established by your bank, through secure e-commerce (Verified by Visa" and "MasterCard SecureCode"). The order cannot be taken into account and will not be processed until the payment has been authorised by your bank."


The SSL system is used (Secure Sockets Layer), a payment system in a secure environment because this enables the information transmitted during the transaction to be encrypted, ensuring its confidentiality.



   7.2 Payment by bank transfer or direct deposit: At the time the order is completed, the user will receive instructions together with the account number to make the payment for the order. It is essential that the order number and the user's name are clearly stated on the transfer request. To confirm the order, this transfer must be made within 7 days, otherwise the order will be cancelled in our system.


   7.3 PayPal: Once the purchase is complete, if this payment method is chosen, the user will be redirected to the official PayPal website in order to confirm payment. Once the payment has been duly made, the purchase will be complete and an email will be sent with a summary of your order. Clicking the Back to website" button will return you to the website where you can see the order and print out a copy."



PayPal automatically encrypts sensitive data using the most advanced technologies available. PayPal has its own privacy policies and BALNEO SPA has no liability regarding these.



The payment method available for telephone purchases is the Payment by bank transfer or direct deposit: at the time the order is completed, the user will receive instructions together with the account number in order to make the payment. It is essential that the order number and the user's name are clearly stated on the transfer request. To confirm the order, this transfer must be made within 7 days, otherwise the order will be cancelled in our system.



The payment method for Non-EU countries (except USA, CANADA, AUSTRALIA and SWITZERLAND) will be by bank transfer in advance. The account details will be provided in the order management email




8. RIGHT TO CANCEL:

8.1 Right to cancel: Users are entitled to exercise their right to cancel. To this end, they have a period of 15 calendar days from when they receive the product, with no penalty for cancellation; the consumer must be refunded the full amount of the purchase; i.e. the price of the product plus delivery costs, within 14 calendar days of the user/consumer exercising the right to cancel. Regarding the cost of returning products, these will be paid by the user-consumer. The exercise of the right to cancel is not subject to any formality. The consumer will only be liable for any reduction in the value of the goods resulting from their handling other than what is necessary considering their nature, characteristics or operation, without this limiting your right to cancel. To exercise this right to cancel, you can fill in the form that appears at the end of these conditions as an ANNEX. Right of withdrawal with your order number (to obtain a refund of the amount of the product(s) within a maximum period of Fifteen (15) calendar days following receipt of the order) together with your contact details. You can send it to us by email eshop@balneospauniforms.com or by post (via any legally accepted means), always within 15 calendar days of receiving the order. After this period, you may only request the return or exchange of the product(s) for technical reasons subject to the guarantee of the product(s) in question.



The product must be returned with all the elements with which it was delivered, without damage or wear and tear of any kind, and without marks suggesting undue use of the good or use other than that corresponding to the nature thereof, to the address we have provided.



It is advisable to return the product in its original packaging. If this is not possible, the value of the product may be reduced. The customer will be responsible for the packaging and protection of the product(s) returned, as well as for shipping costs. Return costs will be paid by the consumer-user. Under no circumstances will deliveries be accepted COD (collection on delivery).



Provided the products are returned within 15 calendar days, without any damage or evidence of wear and tear and meeting the requirements set out in this section, we will refund the full amount of the purchase.



Exceptions to the right to cancel: The right to cancel will not apply to contracts concerning the supply of goods made to the consumer's and user's specifications or clearly personalised.



   8.2 Return due to error in the order on the part of BALNEO SPA: When the product does not correspond to the one ordered, due to some error attributable to the company, the user must notify the company of this by email as soon as possible; BALNEO SPA will pay the cost of collecting the product sent in error and of delivering the product corresponding to the one ordered.



   8.3 Verifying Returns: BALNEO SPA will verify and check any products returned and once these are at its facilities it will verify that they have been received complying with all the requirements established in section 9.1. If any of the elements are missing, the user will be informed in writing by email, specifying the missing content. Returns and exchanges can be processed only for products purchased in the Balneo Spa eShop.



9. REFUNDS

If a product is returned (withdrawal), the amount paid for the product plus shipping costs will be refunded. The cost of returning the goods shall be borne by the consumer-user. The deadline for refunds will be within 14 working days and through the same means in which the purchase was made.



10. APPLICABLE GUARANTEES AND AFTER-SALES SERVICES:

   10.1 Guarantee: All the products offered via the website are completely original. All our garments are guaranteed for 3 months for manufacturing defects.



Garment guarantees exclude replacement in these cases:

- Deterioration of the garment due to misuse.

- Deterioration of the garment due to stains from aggressive products (bleach, dyes, etc.).

- Deterioration of the garment due to washing the garment with inappropriate detergent.

- Deterioration of the garment due to washing the garment at a higher temperature than recommended.



Satisfaction guarantee: If, at the time of receiving the product and before exercising the right to cancel, the user is not satisfied by the purchase, the user can choose to exchange the item for another. If the price of the product is higher than the exchanged product, the user must pay the difference; if the desired product is cheaper than the exchanged product, Balneo SPA will refund the difference.



   10.2 Guarantee in the case of a defective product: In the case of a defective product, BALNEO SPA must repair, replace, reduce the price or terminate the contract (as appropriate), actions which will be free of charge for the user. BALNEO SPA is liable for any non-conformity that occurs within two years of delivery; the consumer-user must inform BALNEO SPA of the non-conformity within two months of becoming aware of it.



11. INVALIDITY AND VITIATION OF CLAUSES:

Should any clause contained in these General Terms and Conditions be declared, totally or partially, null and void or ineffective, such nullity or ineffectiveness would affect only that provision or the part thereof that is null and void or ineffective, with the General Terms and Conditions remaining in full force and effect and with such provision, or the part thereof that is affected, being held as not considered.



12. ONLINE DISPUTE RESOLUTION:

Pursuant to Art. 14.1 of Regulation (EU) 524/2013, the European Commission provides a free access platform to resolve online disputes between the USER and SUPPLIER, without the need to go to court, through the intervention of a third party, called the Dispute Resolution Body, which acts as an intermediary between the two. This body is neutral and will dialogue with both parties to reach an agreement, and may eventually suggest and/or impose a solution to the conflict. 13.APPLICABLE LAW AND JURISDICTION:

These conditions will be governed by or interpreted in accordance with Spanish law insofar as this is not expressly established. The supplier and user agree to submit any dispute that may arise from the provision of the products or services under these Terms and Conditions to the Courts and Tribunals of the supplier's domicile (if not considered as a consumer under the TRLGDCU) or the user's domicile (if considered as a consumer under the TRLGDCU).



14. APPLICABLE REGULATIONS:

These General Terms and Conditions are subject to the provisions of:
European regulations that govern electronic commerce:



- Directive 97/7/EC on the protection of consumers in respect of distance contracts (Distance Selling Directive);


- Directive 2000/31/EC on certain legal aspects of information society services, in particular electronic commerce, in the Internal Market (e-Commerce Directive).



Spanish regulations:


- Law 3/2014, of 27 March, amending the revised text of the General Law for the Defence of Consumers and Users.


- Law 7/1998, of 13 April, on General Contract Conditions, and subsequent amendments,


- REGULATION (EU) 2016/679 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation)


- Organic Law 3/2018, of 5 December, on the Protection of Personal Data and the Guarantee of Digital Rights,


- Law 7/1996, of 15 January, on the Regulation of Retail Trade, and


- Law 34/2002, of 11 July, on Information Society and Electronic Commerce Services and subsequent amendments.
